Terms of Service — Veritas Nexum

1. Acceptance of Terms

By accessing or using the Veritas Arcus platform ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the Platform.

These terms constitute a legally binding agreement between you and Veritas Nexum Ltd, a company registered in England and Wales.

2. Platform Description

Veritas Arcus is a deterministic financial analysis platform. It applies a fixed analytical ruleset to publicly available historical financial statement data to produce structured company reports.

Deterministic Architecture: All platform outputs are the result of fixed mathematical operations applied to historical data. The same input always produces the same output. No probabilistic models, large language models, generative AI systems, or inference engines are involved at any stage of report generation.
Historical Data Only: The Platform processes historical financial statement data sourced from third-party market data providers. It does not process real-time data, forward estimates, or analyst projections.
Read-Only Analysis: The Platform generates analytical reports from publicly available data. It does not execute trades, manage portfolios, or interact with any financial institution on behalf of users.

3. Intellectual Property

The Veritas Arcus platform, including its analytical engine, fixed rulesets, report architecture, user interface design, proprietary multi-company comparison capability, automated validation framework, and all associated codebase, is the sole and exclusive intellectual property of Veritas Nexum Ltd.

All rights are reserved. Nothing in these terms grants you any ownership interest in the Platform or its underlying technology.

The "Veritas Nexum" and "Veritas Arcus" names, branding, and visual identity are proprietary to Veritas Nexum Ltd and may not be used without prior written consent.

4. Licence & Restrictions

Subject to these terms, Veritas Nexum grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your own internal financial analysis purposes.

You strictly agree not to:

Reverse Engineering: Reverse-engineer, decompile, disassemble, or attempt to derive or extract the analytical rulesets, scoring logic, classification algorithms, or any other proprietary component of the Veritas Arcus engine.
AI Training Prohibition: Use platform outputs, report content, or any data derived from the Platform to train, fine-tune, validate, or benchmark any machine learning model, large language model, generative AI system, or financial modelling tool.
Systematic Extraction: Use automated tools, bots, scrapers, or scripts to systematically extract, harvest, or download platform outputs or data in bulk.
Redistribution: Resell, sublicence, or redistribute platform outputs or access to any third party without prior written consent from Veritas Nexum Ltd.
Misrepresentation: Present platform outputs as financial advice, investment recommendations, ratings, or as the work product of a regulated financial adviser.

5. Platform Outputs & No Financial Advice

Veritas Arcus provides high-density data synthesis and historical financial analysis infrastructure. It does not provide investment advice, financial advice, auditing services, or fiduciary services of any kind.

All platform outputs are descriptive and historical in nature. They describe what a company has reported and how it has behaved over time. They do not:

Recommend buying, selling, or holding any security
Provide a valuation, price target, or fair value estimate
Predict future financial performance
Constitute an audit, verification, or certification of financial statements
Substitute for the advice of a qualified financial adviser, accountant, or auditor

Financial data sourced from third-party providers may contain errors, omissions, or delays. Veritas Nexum does not guarantee the accuracy, completeness, or timeliness of any data used to generate platform outputs. Users bear sole responsibility for verifying the accuracy of underlying source data before relying on any platform output for any purpose.

6. Liability Limitations

To the maximum extent permitted by applicable law:

No Consequential Liability: Veritas Nexum Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or investment losses, arising from your use of or reliance on platform outputs.
Liability Cap: Veritas Nexum's total aggregate liability to you for any claim arising from these terms or your use of the Platform shall not exceed the total fees paid by you for access to the Platform during the twelve-month period immediately preceding the claim.
No Warranty: The Platform is provided "as is" without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement.

Nothing in these terms limits liability that cannot be limited under applicable law, including liability for fraud or death or personal injury caused by negligence.

7. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these terms. You must not:

Use the Platform in any way that violates applicable law or regulation
Attempt to gain unauthorised access to any part of the Platform or its infrastructure
Interfere with or disrupt the integrity or performance of the Platform
Transmit any harmful, offensive, or unlawful content through the Platform
Use the Platform to facilitate market manipulation or any other financial crime

8. Termination

Veritas Nexum reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, if we reasonably believe you have breached these terms or are using the Platform in a manner that poses a risk to the Platform, other users, or third parties.

Upon termination, your licence to use the Platform ceases immediately. Provisions of these terms that by their nature should survive termination — including intellectual property, liability limitations, and governing law — shall survive.

9. Governing Law

These terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms.
